Public Offer Agreement

1. General Provisions

This agreement is a public offer (proposal) according to articles 633, 641, 642 of the Civil Code of Ukraine.

Service Provider: Private Entrepreneur Kovinia Oleksandr Oleksiyovych, TIN 3513013875

Acceptance of the terms of this offer is considered to be the fact of payment for services by the Customer. By paying for services, the Customer confirms that they have read the terms of this Agreement, fully understand and accept them.

2. Subject Matter

The Provider undertakes to provide the Customer with IT consulting services, including:

• Configuration, installation and maintenance of computer equipment and software
• Organization, deployment and support of computer networks
• Information systems administration and ensuring their stable operation
• Implementation, support and maintenance of cloud and virtualized solutions
• Implementation of information security measures
• Providing technical and consulting support to users

3. Pricing and Payment

Base service rates are published at k2o.cc/pricing.

The cost of services is determined individually for each order and agreed upon by the Parties before the commencement of services.

Payment is made by non-cash transfer of funds to the Provider's bank account.

The payment procedure (full prepayment, partial prepayment or payment after service provision) is determined by agreement of the parties for each specific order.

Services are considered provided after completion of work and confirmation by the Customer (verbally, in writing or through electronic communication channels).

4. Rights and Obligations

The Provider undertakes to:

• Provide services with quality and on time as determined by the parties
• Inform the Customer about the progress of work
• Ensure confidentiality of received information

The Customer undertakes to:

• Timely provide necessary information and access to perform services
• Timely and fully pay for the services provided

The Provider retains all intellectual property rights to the work results, unless otherwise provided by a separate agreement.

5. Contract Duration

The agreement comes into force from the moment of acceptance (payment for services) and is valid until full performance by the parties of their obligations.

Each Party has the right to terminate the agreement by notifying the other Party no later than 5 working days in advance.

In case of early termination of the agreement, the Customer pays for the services actually provided.

6. Confidentiality

The Provider undertakes not to disclose confidential information of the Customer obtained in the process of providing services.

Personal data processing is carried out by the Provider in accordance with the requirements of current Ukrainian legislation on personal data protection.

The Provider takes all necessary organizational and technical measures to protect the Customer's information from unauthorized access, destruction, modification or disclosure.

7. Liability

The Parties are liable for non-performance or improper performance of their obligations in accordance with current Ukrainian legislation.

The Parties are released from liability for complete or partial non-performance of their obligations if such non-performance is a consequence of force majeure circumstances.

The Provider is not liable for damages arising from the Customer providing inaccurate or incomplete information.

8. Dispute Resolution

All disputes and disagreements arising between the Parties shall be resolved through negotiations.

The claim procedure for dispute resolution is mandatory. The claim consideration period is 30 (thirty) calendar days from the moment of its receipt.

In case of failure to reach an agreement through negotiations, disputes shall be resolved in court in accordance with current Ukrainian legislation.
